Smart Boat Ltd – Software License Agreement
This Software License Agreement (“Agreement”) is entered into by and Smart Boat Ltd (“Licensor”) and any individual or entity who accesses or uses the software (“Licensee”).
1. Licence Grant
Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the software provided by Licensor (“Software”) solely for Licensee’s internal business purposes.
2. Restrictions
Licensee shall not:
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party;
- Remove, alter, or obscure any proprietary notices or labels on the Software;
- Use the Software for any unlawful purpose or in any manner inconsistent with this Agreement.
3. Intellectual Property Rights
Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not convey to Licensee any rights of ownership in the Software or any other intellectual property rights of Licensor.
4. MIT Licence
The Software may include third-party open-source components. The licenses and attributions for these components can be found in the accompanying documentation or in the source code files of the software.
5. Confidentiality
Licensee shall maintain the confidentiality of the Software and shall not disclose any information related to the Software to any third party without the prior written consent of Licensor.
6. Term and Termination
This Agreement shall remain in effect until terminated by either party. Licensor may terminate this Agreement immediately upon notice if Licensee breaches any provision of this Agreement. Upon termination, Licensee shall cease all use of the Software and destroy all copies thereof.
7. Disclaimer of Warranty
The software is provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not warrant that the software will be error-free or uninterrupted or that defects will be corrected.
8. Limitation of Liability
in no event shall licensor be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with the software, even if licensor has been advised of the possibility of such damages. Licensor’s total liability for any claims arising out of or in connection with this agreement shall not exceed the amount paid by licensee, if any, for the software.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England without regard to its conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
11. Amendments
This Agreement may be amended from time to time. Any changes will be posted on this page and the “Last Updated” date will be revised accordingly.
By accessing or using the Software, Licensee agrees to be bound by the terms and conditions of this Agreement. If Licensee does not agree to these terms and conditions, Licensee may not use the Software.
